1. Acceptance of Terms

By accessing or using ServiceROI (the "Service"), operated by QuestFeed Pty Ltd (ABN 58 632 013 855), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

ServiceROI is a platform that:

• Connects customers with home service professionals (plumbers, electricians, HVAC, etc.)
• Provides directory listings for home service businesses
• Offers website design and marketing services for tradies and contractors
• Provides business management tools including CRM, booking, and quote systems
• Enables service booking and quote requests for consumers

3. User Accounts

To access certain features, you may need to create an account. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Being at least 18 years of age

4. Business Listings

For home service providers listing their business:

• You must provide accurate business information
• You are responsible for keeping your listing up to date
• You must have the authority to represent the business
• You must hold appropriate licenses and insurance
• You agree not to post false or misleading information
• You are responsible for the quality of services you provide
• We reserve the right to remove listings that violate our policies

5. Service Bookings and Quotes

When using our booking or quote request features:

• Bookings are subject to service provider availability and acceptance
• We facilitate connections but are not party to agreements between customers and service providers
• Payment terms are between you and the service provider
• We are not responsible for the quality, timing, or outcome of services performed
• Cancellation policies are set by individual service providers

6. Reviews and Ratings

When posting reviews:

• Reviews must be based on genuine service experiences
• Reviews must be honest, accurate, and fair
• No abusive, defamatory, or discriminatory content
• No conflicts of interest (e.g., reviewing your own business or competitors)
• We reserve the right to remove reviews that violate these guidelines

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any systems
• Post spam, malware, or malicious content
• Scrape or harvest data from the Service
• Use the Service to harm competitors unfairly
• Post fake reviews or manipulate ratings
• Discriminate based on race, religion, gender, or other protected characteristics

8. Payment and Refunds

For paid services:

• All fees are in USD or AUD as specified
• Payments are processed through secure third-party processors
• Subscription fees are billed monthly unless otherwise specified
• You may cancel subscriptions with 30 days notice
• Refunds are handled on a case-by-case basis
• We reserve the right to change pricing with 30 days notice

9. Intellectual Property

The Service and its original content, features, and functionality are owned by QuestFeed Pty Ltd and are protected by copyright, trademark, and other intellectual property laws. The ServiceROI name and logo are trademarks of QuestFeed Pty Ltd.

10. User Content

By posting content on our platform (reviews, photos, business information, job descriptions), you:

• Retain ownership of your content
• Grant us a non-exclusive, royalty-free, worldwide license to use, modify, and display that content
• Represent that you have the right to post the content
• Agree that we may use your content for marketing and promotional purposes

11. Third-Party Services

Our Service may integrate with third-party services including payment processors, mapping services, and communication tools. We are not responsible for the content, policies, or practices of any third-party services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• The accuracy of business listings or reviews
• The quality of services provided by listed businesses
• That the Service will be uninterrupted or error-free
• That service providers are properly licensed or insured

WE DO NOT ENDORSE ANY PARTICULAR SERVICE PROVIDER. USE OF THE SERVICE IS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUESTFEED PTY LTD AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from service provider performance or conduct
• Property damage or personal injury related to services booked through our platform

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless QuestFeed Pty Ltd, its affiliates, and their respective directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Services you provide to customers (for business users)

15. Dispute Resolution

Disputes between customers and service providers should be resolved directly between the parties. We may offer mediation assistance but are not obligated to do so. We are not responsible for resolving disputes about service quality, pricing, or performance.

16. Termination

We may terminate or suspend your account at any time, without prior notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or the Service
• Exposes us or others to legal liability
• Involves fraud or misrepresentation

Upon termination, your right to use the Service will immediately cease. We may delete your data subject to our data retention policies.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Queensland, Australia.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Updating the "Last updated" date
• Sending email notification to registered users (for major changes)

Your continued use of the Service after changes constitutes acceptance of the updated Terms.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ServiceROI regarding the use of the Service, superseding any prior agreements.
